Bloom Glass Company stands for Mary, my mother's name. He was retiring from 30 years as a police officer, and I sensed that he believed the pension benefits were not enough. In any event, this was a family business in every sense; my grandparents' garage was where we stored inventory, and both my brothers and I were regularly called into service, but principally I was my father's main assistant: I remember it was my job to keep the inventory organized and I also remember long summer nights spent working on ledgers and financial statements for my father. We were retained to stabilize the situation. This business was started after the end of the Second World War by Harold, a signal communications expert and engineer. Harold’s son Paul took over the business upon Harold’s retirement. At the time we were retained, Paul was Chairman and CEO of this company. Long before these events, Harold left Paul's mother for another woman, Sara, who had two children of her own. Paul often found it difficult to navigate the blended family. Paul also indicated that he neither liked nor respected Sara, and he resented the role she played in how his mother had been treated when Harold decided to leave her for Sara. Paul had two children: an adult son who was the VP of Sales at the family business, and an adult daughter who was not involved in the business. The father had a tense relationship with his son that cycled between closeness and months of no contact. The father was closer with his daughter, but there were still conflicts from time to time. One of the sources of conflict between Paul and his son was the absence of any succession plan for the business. The son was understandably concerned about his own future, and whether he would in time have the opportunity to get ownership and control of the business. In his will, Harold had left equal shares in the family business to Paul and Sara, and the communications between them were often too strained to allow for effective management of the business, let alone the creation of a succession plan. The effort to negotiate the terms of this succession plan promised to be often emotional and contentious, and it proved to be both. Every issue – such as the terms of any financial arrangement – carried the possibility of an emotional outburst. Eventually, Paul and Sara agreed to the terms of a buy-sell agreement, that would provide a succession plan. The agreement provided a framework for succession, surprising the son, who was pleased with the terms, as it provided a path to his eventual ownership and control. Using some of the distributions from that trust, they started a very successful real estate brokerage together. The sister managed finances, while the brother handled operations. All went well for many years, but then problems developed. The sister lived extravagantly, borrowing heavily against her assets. Eventually, she exhausted her share of the trust. She also borrowed from the brokerage's escrow account. Then, increasingly desperate to find the means to sustain her lifestyle, she borrowed from an elderly relative. There were reasons to question whether the relative understood the terms of the borrowing, which were on favorable terms to the sister. The sister did not make payments under this loan. Another relative, now managing the elderly relative's affairs, demanded payment and when the sister refused, the relative sued the sister for breach of trust and nonpayment. Further, during the course of these events, the sister also ran up significant liabilities to the IRS. The brother grew gravely concerned, as he knew the sister's actions could destroy the brokerage and their reputations. Historically, the brother had mostly deferred to the sister; now, he realized he had to take a greater role in the management of the brokerage. He saw a need for immediate action, such as the sister filing for bankruptcy. On the other hand, the sister wanted to contest the step-relative's lawsuit. The siblings retained us to address the issues impacting the brokerage. Initially, it proved very difficult to develop a plan that both siblings accepted. The sister continued in her desire to contest the lawsuit. We encouraged the sister to explore all available practical alternatives to filing bankruptcy and contesting the lawsuit, as her commitment to any plan we developed was crucial and she had to come to see that realistically, there was no other path. After many months of consultations and evaluation of different options, the sister acknowledged that there was no alternative. We developed a plan that contained three steps, which the siblings agreed to implement: 1) the sister would file for bankruptcy; 2) she would sell her only remaining asset of value (a beachfront vacation home) to pay the IRS debt, as that would not have been dischargeable in bankruptcy, and 3) attempt to settle the lawsuit. There were no guaranties that the last element would succeed; the step-relative could not be forced to accept a settlement. Still, after many months of discussions, and a great deal of effort to develop trust between the lawyers, a settlement was finally reached. The sister filed for bankruptcy six weeks after the settlement. The brokerage survived, but underlying tension remained between the siblings, as both had to adjust to the brother’s assertion of greater authority in their relationship. The plan reflected the mother’s intention that her assets would be equally divided. To her surprise, the disclosure ignited a firestorm of controversy among the three sons that threatened not only to frustrate the mother’s goals but also to embroil the family in litigation, if not before her death, then almost certainly after it. The issue revolved around the perception held by two of the brothers that the mother had favored the third at their expense. The basis for much of the dispute was an investment the mother had made in an engineering services company that the third son had started. We recommended that the mother disclose the details of that investment, but the mother was very reluctant, believing that she owed no duty to discuss why she made some of the decisions she had with what she characterized as “my money.” Eventually, she agreed to disclose some of those details, and also provided a detailed memo explaining how she had determined the asset distribution plan. While these disclosures did not immediately resolve the controversy, they did reduce the amount of resentment the two brothers had. After a few months of phone and email communications, the mother and her sons felt comfortable enough to meet in one place without any professionals, to talk face-to-face about mother’s estate plan. After that meeting, the mother made some modifications to the distribution plan to address the issues raised by the two sons. At the very least, these adjustments sent the message to the sons that she did hear their concerns. The threat of any litigation abated. The plan was implemented with those adjustments incorporated.
